What is a Form 6-K? The SEC foreign issuer report, explained

A Form 6-K is the “Report of Foreign Private Issuer”. Non-US companies whose shares or American depositary receipts (ADRs) trade in the US use it to send the SEC the material news they publish at home: results, dividends, deals, management changes and shareholder votes. Think of it as the foreign-company cousin of the 8-K, with one big difference: a 6-K follows disclosure that has already happened in the company’s home market, and it must be furnished promptly after that.

Annual reportForm 20-F, or Form 40-F for eligible Canadian companies

Who files a 6-K?

Foreign private issuers. Under SEC Rule 3b-4, a non-US company qualifies unless more than half of its voting shares are held by US residents and it also has a US-heavy profile: most of its executive officers or directors are US citizens or residents, more than half of its assets are in the US, or its business is run mainly from the US. Companies re-test this once a year.

Plenty of well-known stocks are 6-K filers, including Taiwan Semiconductor (TSM), ASML, Sony (SONY), Alibaba (BABA), Novo Nordisk (NVO), Shell (SHEL), Toyota (TM), Infosys (INFY), HSBC and Vale. All of them file a 20-F as their annual report. Large Canadian companies such as Toronto-Dominion Bank (TD) and Royal Bank of Canada (RY) use the Form 40-F instead and also furnish 6-Ks.

Foreign companies can choose to file like a US company. Shopify, a Canadian company, furnished its last 6-K in December 2024 and has filed 10-K, 10-Q and 8-K reports since early 2025.

What goes in a 6-K

The SEC’s Form 6-K instructions ask for anything the company makes public at home, files with a stock exchange or sends to shareholders, as long as it is material. The list includes changes in the business, management or control; acquisitions and disposals; financial condition and results; legal proceedings; changes in auditors; votes at shareholder meetings; defaults; and material cybersecurity incidents. Real examples:

  • Results. ASML furnishes its quarterly results on a 6-K; many European and Asian companies do the same for quarterly or half-year numbers.
  • Monthly sales. TSMC furnishes a 6-K with its revenue for each month, ahead of its quarterly results.
  • Share buybacks and capital. HSBC furnishes announcements made to the London and Hong Kong exchanges, such as updates on repurchased shares being cancelled.
  • Dividends and meetings. Dividend notices, AGM agendas and voting results.
  • Deals, people and other news. Acquisitions, financing, board and executive changes, and press releases the company issues at home.

6-K vs. 8-K, 10-Q, 10-K, 20-F and 40-F

Form and filerWhat it isDeadline
6-KForeign private issuersMaterial news already made public at home or on another exchangePromptly after it is made public
8-KUS (domestic) companiesSpecific events: results releases, deals, executive changes, votes and moreUsually within 4 business days
10-QUS companiesQuarterly report with unaudited financial statements40 or 45 days after quarter-end
10-KUS companiesAnnual report with audited financial statements60, 75 or 90 days after year-end
20-FForeign private issuersAnnual report with audited financial statementsWithin 4 months of year-end
40-FEligible Canadian companies (MJDS)Annual report built on Canadian disclosure documentsWhen the Canadian annual filing is due

The 10-Q deadline is 40 days for large accelerated and accelerated filers and 45 days for others; the 10-K deadline is 60, 75 or 90 days depending on company size. Foreign private issuers skip the 10-Q and 8-K entirely, and they are exempt from the US proxy rules, which is why their meeting documents also tend to show up on 6-Ks.

The deadline: “promptly”

Unlike the 8-K’s four business days, a 6-K has no countdown. The form says it must be furnished promptly after the information is made public at home. Because many foreign companies announce during their own business hours, a 6-K can land on EDGAR overnight or before the US market opens, US Eastern time. The home-market announcement usually comes first, so the 6-K is rarely the very first place news appears; it is the official US copy.

How to read a 6-K in two minutes

  • Cover page. Note the company name, the “For the month of” line and whether the 20-F or 40-F box is checked. That tells you which annual report to look for later.
  • The attachment is the news. The cover says almost nothing. Open the attached document or Exhibit 99.1 and read its headline and first paragraph.
  • Routine or material? Buyback updates, director dealings and voting-rights notices are usually routine. Results, guidance, deals and management changes usually are not.
  • Check the currency and accounting. Figures are often in euros, yen, Taiwan dollars or other home currencies, and under IFRS or local rules rather than US GAAP.
  • Mind the ADR ratio. Per-share numbers are usually per ordinary share. One TSM ADR, for example, represents five TSMC ordinary shares.

Form 6-K FAQ

What does Form 6-K stand for?

Nothing beyond the form number. Its full title is “Report of Foreign Private Issuer Pursuant to Rule 13a-16 or 15d-16 under the Securities Exchange Act of 1934”. Foreign companies with US-registered shares or ADRs use it to pass on news they publish at home.

Is a 6-K the same as an 8-K?

They do a similar job, but they work differently. US companies file an 8-K when one of the listed events happens, usually within four business days. A foreign private issuer furnishes a 6-K promptly after it makes material information public at home, files it with another stock exchange or sends it to shareholders. Foreign private issuers do not file 8-Ks.

Do foreign companies file 10-Qs?

No, not as foreign private issuers. They have no US quarterly report requirement. Many still publish quarterly or half-year results at home, and those results reach the SEC on a 6-K. Their audited annual report is a Form 20-F, or a Form 40-F for eligible Canadian companies.

How quickly must a 6-K be furnished?

The form says “promptly” after the information is made public. There is no fixed number of days. In practice many companies furnish it the same day or the next business day.

Is the information in a 6-K audited?

Usually not. Most 6-Ks attach press releases, interim results, exchange announcements or meeting notices. The audited annual financial statements come in the 20-F or 40-F. Information in a 6-K is “furnished”, not “filed”, so it is not subject to Section 18 liability unless the company incorporates it by reference into another filing.

Why do some companies furnish dozens of 6-Ks a month?

Because their home exchanges require frequent announcements. Banks and other companies listed in London or Hong Kong, for example, publish updates on share buybacks, cancelled shares, director share dealings and voting rights, and each one can become a 6-K. Most are routine; results, guidance changes and deals are the ones that usually matter.

Does a new 6-K mean I should buy or sell the stock?

No. A 6-K is a disclosure, not a recommendation, and most are routine. Read what it says and compare it with what the company reported before. BuyMeWhiskey does not give buy or sell calls.
