What is an 8-K? The SEC current report, explained

A Form 8-K is a “current report”. US public companies must file one with the SEC, usually within four business days, when something material happens between their quarterly and annual reports. It is the fastest official source for results releases, deals, executive changes and other events.

The items that matter most

  • Item 2.02 – results of operations. Usually a pointer to the earnings press release in Exhibit 99.1.
  • Item 1.01 / 1.02 – a material agreement signed or ended (credit lines, big contracts, merger agreements).
  • Item 2.01 – an acquisition or sale of assets completed.
  • Item 2.05 / 2.06 – restructuring costs or an impairment.
  • Item 4.02 – past financial statements should no longer be relied on (rare and serious).
  • Item 5.02 – a director or officer arrives, leaves or gets a new pay deal.
  • Item 5.07 – shareholder vote results.
  • Item 7.01 – Regulation FD disclosure (often a presentation).
  • Item 8.01 – other events the company chooses to disclose.
  • Item 9.01 – the exhibits list; nearly every 8-K has it.

How to read one in two minutes

Check the items listed on the cover, read the first paragraph under each item, then open Exhibit 99.1 if there is one. The item numbers tell you the category before you read a word.
